Legal terms

Clear terms for working together.

These Terms and Conditions govern access to NNEXUM websites, FOM Facility Operations Manager, operational communications, purchases, and related services.

Important safety notice FOM and NNEXUM’s websites are not emergency-dispatch services. For an immediate threat to life, health, fire safety, or property, call 911 or the appropriate local emergency service before using the platform.

1. Acceptance

These Terms form a binding agreement between you and NNEXUM Group LLC (“NNEXUM,” “we,” “us,” or “our”). By accessing or using a website, account, FOM, purchase flow, or related service that links to these Terms, you agree to them and to our Privacy Policy.

If you use a service for an organization, you represent that you are authorized to bind that organization. If you do not agree, do not use the service.

2. Eligibility and accounts

You must be at least 18 years old and legally capable of entering a contract. Provide accurate, current information and use only the account and facilities you are authorized to access.

FOM may use passwordless sign-in links and verified mobile numbers. You are responsible for securing your email, device, sign-in links, and active sessions and for promptly reporting suspected unauthorized access. You may not share an account when individual accountability is required.

3. Services and FOM

NNEXUM provides facility operations coordination, technology, equipment, connectivity, wellness solutions, and related services. FOM helps authorized users request, assign, schedule, document, communicate about, and close operational work.

Features, eligibility, service areas, response times, and availability may vary. A separate proposal, estimate, order, statement of work, service contract, seller agreement, or contractor agreement may apply. If a signed agreement conflicts with these general Terms, the signed agreement controls for that service.

4. Work orders and scheduling

  • A request or work order is not a guaranteed appointment, price, diagnosis, or acceptance until confirmed by an authorized party.
  • Estimates are based on available information and may change when conditions, scope, materials, access, taxes, or safety requirements change.
  • You must provide safe, lawful, and timely access to the property and disclose known hazards, restrictions, and material facts.
  • Scheduled times are subject to availability, travel, emergencies, parts, weather, and conditions outside reasonable control.
  • Photos, audio, notes, signatures, and reports submitted through FOM must relate to the authorized service and must not violate another person’s rights.

5. Contractors, technicians, and sellers

NNEXUM may perform work directly, coordinate NNEXUM personnel, or connect customers with independent contractors or sellers. Unless expressly identified as NNEXUM personnel, contractors and sellers are independent businesses responsible for their workforce, licenses, insurance, taxes, workmanship, products, warranties, and legal compliance.

Access to the contractor or seller network is subject to review, verification, and separate terms. Listing, onboarding, or platform access is not an endorsement or guarantee of future assignments, sales, or revenue.

6. Shop and products

Product descriptions, availability, images, compatibility, delivery dates, and seller warranties may be supplied by third-party sellers. Review product specifications and site conditions before purchasing or installing. Returns, cancellations, warranties, and fulfillment are governed by the terms shown with the order and any applicable seller policy.

7. Prices and payments

You authorize NNEXUM and its payment processor to charge the payment method you provide for approved estimates, services, subscriptions, products, taxes, processing charges, and disclosed fees. Prices are in U.S. dollars unless stated otherwise.

You are responsible for accurate billing information and timely payment. Disputes must be raised promptly and in good faith. Refunds, credits, cancellations, late charges, and contract renewals follow the applicable estimate, order, or signed agreement and mandatory law.

8. Email and text messages

You agree to receive service and account communications by email. If you separately select Text or Email + Text, NNEXUM may send verification codes, work-order updates, scheduling notices, operational alerts, and support replies to the mobile number you provide.

Message frequency varies. Message and data rates may apply. SMS consent is optional and not a condition of purchase. Reply STOP to opt out or HELP for help, or email fom@nnexum.com. Carriers are not liable for delayed or undelivered messages.

9. Your content

You retain ownership of content you submit. You grant NNEXUM a nonexclusive, worldwide, royalty-free license to host, copy, process, transmit, display, translate, transcribe, and use that content only as reasonably necessary to provide, secure, support, document, and improve the service and comply with law.

You represent that you have the rights and permissions needed to submit the content, including images, recordings, facility information, and personal information. Do not upload payment credentials, health records, government identifiers, or other sensitive information unless the feature expressly requests it and you are authorized to provide it.

10. Acceptable use

You may not:

  • Access another customer, facility, work order, account, system, or data without authorization.
  • Misrepresent identity, permissions, work performed, prices, documents, certifications, or payment information.
  • Upload malicious code, probe security, disrupt service, bypass limits, scrape protected data, or reverse engineer except where law expressly permits.
  • Use the service for unlawful, fraudulent, threatening, discriminatory, infringing, unsafe, or abusive activity.
  • Send unsolicited marketing, falsify communication consent, or interfere with another person’s communication choices.

11. NNEXUM property

NNEXUM and its licensors own the websites, FOM, designs, software, logos, documentation, and related intellectual property, excluding your content. We grant you a limited, revocable, nontransferable right to use the service for its intended business purpose while your access is authorized.

12. Confidentiality and privacy

You must protect nonpublic information available through the service and use it only for the authorized operational purpose. Our handling of personal information is described in the Privacy Policy.

13. Third-party services

The service may depend on or link to third-party hosting, maps, communications, payment, authentication, marketplace, or analytics services. Their own terms and privacy policies may apply. NNEXUM is not responsible for a third party’s independent service, content, or conduct.

14. Availability and changes

We may maintain, update, change, suspend, or discontinue features to improve security, reliability, compliance, or operations. We do not guarantee uninterrupted or error-free availability. We will provide notice when reasonably practicable or legally required.

15. Disclaimers

To the fullest extent permitted by law, websites, platform features, and general information are provided “as is” and “as available.” NNEXUM disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. Specific goods or services may carry express warranties in a signed agreement or seller policy.

NNEXUM does not warrant that a contractor, seller, product, estimate, schedule, transcription, automated suggestion, or third-party service will meet every requirement. You remain responsible for professional judgment, site safety, code compliance, approvals, and emergency response.

16. Limitation of liability

To the fullest extent permitted by law, NNEXUM and its officers, employees, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profit, revenue, data, goodwill, or opportunity arising from the service.

NNEXUM’s aggregate liability arising from a claim will not exceed the amount you paid NNEXUM for the affected service during the 12 months before the event giving rise to the claim, or $100 if you paid nothing, except where applicable law prohibits that limitation. These limits do not exclude liability that cannot legally be limited.

17. Indemnification

To the extent permitted by law, you will defend and indemnify NNEXUM from third-party claims, damages, and reasonable costs arising from your unlawful use, your content, your violation of these Terms, or your violation of another person’s rights. This obligation does not apply to the extent a claim is caused by NNEXUM’s own unlawful conduct.

18. Suspension and termination

You may stop using the service, subject to outstanding contractual and payment obligations. We may suspend or terminate access for security risk, nonpayment, unlawful conduct, material breach, inactive or unverified status, or to comply with law. Provisions that by nature should survive termination will remain effective.

19. Governing law

Florida law governs these Terms, without regard to conflict-of-law principles. Unless a signed agreement requires another forum, the state and federal courts located in Miami-Dade County, Florida will have exclusive jurisdiction, and each party consents to that venue. Mandatory consumer protections remain unaffected.

20. General terms

If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; NNEXUM may assign them as part of a reorganization or transfer of the service. These Terms and applicable signed agreements constitute the entire agreement about their subject matter.

21. Updates

We may update these Terms. The revised version will be posted with a new “Last updated” date. Material changes will receive additional notice when required. Continued use after the effective date constitutes acceptance of the revised Terms.
